ABSTRACT:Corporate governance has a significant role in both company and investor life. In a investor life a investors always checks for the compliance , balance sheet , profit and loss , etc. So it is important for the company to comply with relevant corporate regulations and a regular annual posting of the balance sheet and profit and loss on the company page for investment purposes. As we all know in the earlier stage of a company's life after the bootstrapping and relative investments the Venture Capitalist & the Angel investments takes place . When these investor put in their hard earned money they look for the company's compliance sectors as well. After this stage even the normal investor look out for the compliance taken place in the company so that there is no direct loss of the money. It’s considered that the compliance should be truthful , complete , fair and accountable. A good corporate image helps the company to raise fund and it can be done only by following good corporate governance rules . All the investment made by the company is regulated by the SEBI(Stock Exchange Board Of India) hence following its rules are compulsory even to raise the first public offerings( namely the IPO) .Frankly a good corporate image can help resolve the conflict between the mangers and the shareholders which makes corporate compliance regulations important. A compliance structure helps build a companies trustworthiness and credibility for investing purposes. In this article we have clearly pointed out the role of a company secretary in the very start of the company till the point company wants a continuous investments in the company.By the term company the researchers are referring to both the listed as well as the unlisted companies. In this article the researcher has mentioned how many option a investor has for a investor for investing. Even if the investor have the multiple option during investments he still manages and only after doing the due diligence he agrees to invest into the company. When investing the investor appoints a portfolio manger who has a complete due diligence report which he gives to the investor and justifies why he has put in the money into that company. As the researchers have taken a survey they have pointed out that the young people invest into the company more and they also do a proper due diligence.
